• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless Nexus Government Solutions and its subsidiaries, affiliates, officers, directors, employees, consultants, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

• Any claim that your submissions caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Site.

13.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be instituted exclusively in the state or federal courts located in Fulton County, Georgia. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.

14. DISPUTE RESOLUTION

14.1 Informal Resolution

If you have any dispute with us, you agree to first contact us at info@nexusgovtsolutions.com and attempt to resolve the dispute with us informally before initiating any formal proceedings.

14.2 Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Site shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Atlanta, Georgia, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

15. TERMINATION

15.1 Termination by Us

We may terminate or suspend your access to our Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

15.2 Effect of Termination

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. SEVERABILITY AND WAIVER

16.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby, and such provision shall be changed and interpreted so as to best accomplish the objectives of such unenforceable or invalid provision within the limits of applicable law.

No waiver by Nexus Government Solutions of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Nexus Government Solutions to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any service agreements or contracts you enter into with us, constitute the sole and entire agreement between you and Nexus Government Solutions with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Nexus Government Solutions shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Site and our Services ("Feedback"). 22. GOVERNMENT CONTRACTS

If you are a government agency or entity and these Terms contain provisions that are inconsistent with applicable federal procurement law or regulations, then such provisions shall not apply to you to the extent of such inconsistency. For federal government end users, the Site and services qualify as "commercial items" as defined at 48 C.F.R. 2.101, and are provided to the U.S. Government with only those rights as are granted to all other end users pursuant to these Terms.

23. EXPORT CONTROL

The Site may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from us, or any products utilizing such data, in violation of the United States export laws or regulations.

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, governing law, dispute resolution, and any other provisions that are intended to survive termination.
